    Thank you FYI. I am quoting the Arizona Revised Statutes and how they read. I am not trying to argue the with you about what is currently written versus what could be interpreted. I think this was the basis of the original post. It was what is currently available for the RCSC to abide by and what could be the Arizona Revised Statutes do to change or alter what is currently on the books. You asked for an example of what could create a dilemma or question about the potential changes. I posted an example of two divergent articles about how proxies are handled and the quorum. If you look at the Arizona Revised Statute as written, objectively, and look at the language and definitions provided for non-profit corporations. It does not state that the 10% of the voting members only pertains to a particular class or action.
    I have made an effort to explain the ARS as written. I made a mistake in answering, and it wont occur again.

    And in both cases, the ARS yields that authority to the corporations Articles of Incorporation or Bylaws:

    10-3824. Quorum and voting

    A. Unless the articles of incorporation or bylaws require a different number, a quorum of a board of directors consists of either:

    G. The articles of incorporation or bylaws may authorize a director to vote in person or by proxy. The following provisions apply to voting by proxy:
