Board of Directors Meeting, December 6th

    Well, you've got to understand that these are meetings of the board and we, "Members", are only allowed to attend because the bylaws say so. The bylaws only give us the permission to attend and comment, but what we say has no authority within the meeting. Heck, even Bill's "point of order" at this mornings meeting was not proper because Bill is not a member of the board and has no authority to make that point of order!

    Did you notice that the Chair did not cast her vote? That is an option depending which Robert's Rules they are allowing to apply. Under Robert's Rules , "Procedures in Small Boards", the Chair is allowed to "speak in informal discussions and in debate, and vote on all questions" (see RONR 12th Ed. 49:21)

    The board makes their own rules

    Bottom line is; we need to stay on top of our game and hold their feet to the fire when they violate their own rules and bylaws.

    No summary of member comments! There were several excellent member speakers today. Well researched and well spoken. Members in attendance were engaged while board members appeared disinterested and annoyed. How disrespectful, disappointing and dysfunctional. As often said, “We’ve only just begun!!”

    Just watched the video of yesterday's Board Meeting. Bewildered, disgusted and defeated are just some of the emotions it evoked. No podium for the many senior citizens that will stand shaking while trying to retain some composure. Lining up like cattle in order to speak? Let's all bring walkers for support while standing up to 15 minutes or so for our turn to speak. These changes only serve to physically elevate the Board's superiority over the Members. If intimidation was the desire for these changes, it worked. I also noted that the split video of the Board is no longer allowed.

    A couple questions: Is the parliamentarian paid? Once the increase in the PIF gets its final approval to $4000, no one has said when it becomes effective. What happens to homes that are currently in escrow? Are homes in escrow charged the increased amount before they can close?

    Observations and my opinions only.

    The sitting board has no desire to share The governing of Sun City.

    I personally have lost all respect for Dale Leherer. She has patted hard elf on the back for sitting on the long range planning committee but refuses to fight for the findings of the committee.

    Committee ‘communications through technology” is completely false. There is NO current technology in Sun City.

    Proxies - I doubt that any collected proxies will help in creating a quorum at the membership meeting.

    PIF increase to,4000 dollars. We’ll price people out of buying into Sun City.

    Like Congress the board/GM included this in their pif presentation as part of the presentation. It was snuck in.

    This was meant to discourage speakers. The board (and more likely, the lawyers) advised in implementing this to further discourage any speakers opposed to board decisions. The board sits on their butts on the stage and now requires speakers to stand in line for their turn to speak. This is a retirement community with elderly MEMBERS
    Who may need the support of the podium to make their case. I do agree that speakers should be queued up, but they should be allowed to be seated before their turn to speak. Chairs should be set up in the middle of the aisle to accommodate all interested speakers.

    The board/GM/lawyer is making it impossible for MEMBERS to interact with the board and have their issues heard.

    I know there will be new members to the board in 2022 but unless they step up and STOP all bylaw changes and give the members their due process nothing will change.

    My observations over the pact would years is that the community has no desire to be part of the governing process.
    Stop blaming the BOD/GM for all that has led us to our current environment. The MEMBERS also are a big part of the problem. They care not and do not want to be part of a solution to return Sun City to,it’s roots.

    And I have personally lost respect for most of the board!

    Let's hope the new board members have the courage of their convictions and will not simply capitulate to the wishes of the GM or those who believe their only responsibility is to the corporation.

    I am still disappointed, but not surprised at the proxy confusion! According to the official Proxy Procedure document, the Board Secretary makes the notification of verified proxies. . You saw how quickly Lehrer tossed my question of ‘when and how’ to Cook .

    Why don’t board members do their jobs?!?

    I've written for years, there's a massive difference in The Greatest Generation compared to the Baby Boomers. If i showed any of you would boards did back in the late 90's and early 2000's, you would be shocked by how much time members served either as board or committee members. The exiting gm understood the more she took off their plate, the happier they were. The board's after 2006 were delighted by the fact the gm gave them every answer. It used to drive Carole and i nuts when the boards biggest goal was to be done so they didn't miss a tee time.

    To be clear, the strategy was all about minimizing cardholders (a term made popular by the gm that just retired) involvement. Yesterday says it all, when one of the speakers pointed out to the president the use of the term cardholder should have been member, the president quickly reverted back to cardholder. Let me help clear it up, members are owners, cardholders would include privilege card holders. Sorry Sue, we are the members, no matter how much Jan drilled it into your head.

    SCR might be right, maybe the latest crop of owners could care less. Maybe they are contented to let the gm make every decision and the board rubber stamp them. They will start caring in the next several years. Everything they ignored for the past 15 years will be coming due. In fact, they probably should have increased annual fees this year but they were terrified of the push-back they would have gotten with everything else going on. In fact, did you notice, no Dawn Lake residents there yesterday. My guess is they will string them along until after the annual meeting next week and then blow them off. Hope i am wrong, we'll see.

    How about the board member telling us we have a membership meeting every year. No Darla, we don't. The fact it is on the schedule doesn't mean we have one. If the quorum isn't met, there is no ability for members to have a voice. We know more than 500 proxies were turned in, we just don't know how many more than that there are...and how many will be disqualified. We also don't know if those collected by the president, though turned in for verification, will actually be counted in the total collected for reaching a quorum. She was very illusive in how she answered the question asked of her.

    Finally, yesterday a guy asked me after the meeting how i got a motion submitted for the annual membership meeting? I told him several of us submitted them so they met the seven day requirement (even though i would argue we have no obligation). I never thought to ask him where he saw that? I just assumed he had been sent an email with the agenda and it was there, but it obviously wasn't. I went to see if there was an agenda posted on the RCSC site but i found nothing there either. Anybody know where there is an agenda? Or if there even is one posted?

    Lots of questions we need answers to and i doubt next Monday's meeting will answer any of them.

    I'm not so sure they understand what their jobs and responsibilities are. If they did we wouldn't be in this "US against THEM" situation!

    Problem is, and it's not just the current boards fault, they were intimidated by the impressive resume' of the newly hired general manager 15 years ago and felt that she knew more than them. When they requested advise they were led down the wrong road and didn't know enough or see where that road led! Consequently, we are in a situation that's almost too deep to recover from.

    We need some strong minded new board members who see the errors of the past and will restore some sanity.

    Gee, and it's OUR Meeting not the boards! Don't you think there should be some sort of input from the Members as to what items are on the agenda?

    Absolutely! Cardholders can't vote and can't even comment at board, membership or committee meeting! WE ARE MEMBERS!

    If Sue was a Cardholder she certainly wouldn't be on the board!?!?!?!

    Jesus said, “Father, forgive them, for they do not know what they are doing.” Amen to that!
