The GM’s actual authority

    Jean, I really do not have time to chase this down again. I accidentally (by asking the right questions) discovered that this meeting was planned for last week and then postponed. If this meeting is planned and closed to the members, I am quite certain no employee is going to risk their job and spill the beans. I think it would be a mistake of huge proportions to hold a closed meeting at this point but given what we have already experienced with our new GM and Board Officers I suspect they don't care what any particular member thinks. I fear we are back where we started with the Board pursuing their own agenda and demanding members play whack a mole to try and figure what is really going on. Please feel free to call if you think it would help.

    My intent in my original post under Current Events was to remind folks what Committee meetings were being held this week and where. After it was posted, Dave W. posted that a combined meeting of LRP and F&B was going to be held at the Senoran (sp) room. I read that and since I hate to arrive at one location that has been published only to find no one there, I posted that new information to me and suggested if anyone was interested in attending the Finance and Budget meeting at 1 pm, call the corporate office to be sure that it is still being held at Lakeview Rec. Center.

    These excerpts are from our Corporate Documents

    • Article V, Section V of our current Bylaws states: "All meetings of the Board and the Exchanges, excluding Executive Sessions and Informational Meetings, shall be open and video recorded."
    • Policy No. 27 on Standing Committees states: "WHEREAS the Restated Articles of Incorporation and the Corporate Bylaws shall take precedence over Board Policies and that the following Board Policy on Standing Committees shall provide instruction, direction and guidelines regarding such and shall remain in effect until such time it is amended or removed by the Board."
    • The only reference to who can attend committee meetings is found at the bottom of the section entitled Board and Committee Meetings: *NOTE: Board Meeting or Committee Meeting schedules often change, and the information in the Sun City Update may have been revised since it’s publication. For the most up-to-date information, please visit this page often. All meetings are open to RCSC Cardholders.
    • There is nothing in the bylaws of the policies regarding "Team."

    I can't venture a guess why the "5-year Team" meeting wasn't publicized. Perhaps they wanted input from the two committees involved before they presented their plan to the entire membership. I'm not saying it's the right thing to do, but with all the issues swirling right now, perhaps we should give them the benefit of the doubt. Call the Corporate office; inquire about the meeting; ask if it's open to the members; decide whether or not you want to attend based on the answer; give them a chance to make their presentation.

    Let's not stir the pot before we have finished adding the ingredients!

  3. The actual Budget & Finance meeting is Wednesday at 9AM in the Board room. Found that out on Friday. Wednesday is really full, eh?

  4. As far as I know both meetings are open to the members. I know the 9AM meeting is 5he regular one and some members always show up. Not sure as to afternoon session but the email I received did not say it was closed. This is what I know as of now.

    The website lists the Finance and Budget meeting starting at 1:00 but no mention is made of the joint LRP/F&B committee meeting afterward starting at 2:30. This is really weird and if it is true almost seems like the second meeting is purposely not being communicated. Hence, I called it the secret meeting to which Steve Collins and Anita Borski cried in protest saying there is no secret meeting. (in much less flattering words.) Later on one of Anita Borski's responses indicated there is a joint committee meeting. So here we go again; members are left to guess if there is an unannounced joint committee meeting and if so where it might be. If the meeting is scheduled, it will certainly cover the five-year plan and it is legitimate to ask what the assumption for the libraries might be.

    I just called the Corpoate office. The Finance and Budget meeting is listed for 1 pm at the Lakeview Board Room. The receptionist had no information on a joint meeting later that day.

    I just called the Corpoate office at 623-561-4600 regarding the starting time for the Finance and Budget meeting on Wednesday. I was told it starts at 1 pm at Lakeview Board Room.

  11. Forsooth, the regular B&F meeting is at 9 AM in the Board Room. The joint LRP/B&F meeting is at 2:30 at the Sonoran Room at the Grand Ave facility. It is scheduled until 5:30 PM. This is according to emails I received last Thursday and Friday.

    My word is my bond.

    Clear as mud. It seems committee members are being told one thing and members are being told something totally different. Jean I agree with you that the 1:00 start time is what is posted and only one meeting is posted. Dave, I trust your evidence (via email) that there are two meetings as that is what I was told from another committee member. I am concerned about the Board and GM's ability to carry out business in accordance with the bylaws. While Jean and I had many, many disagreements we vehemently agreed to conduct the business of the Board in accordance with the letter and spirit of the corporate documents. That does not seem to be happening here.

    I brought this up at the Bylaws Review committee. There are legitimate reasons for Executive Sessions which are spelled out in the RCSC Bylaws. However, I was told that meetings could be private since we are a Title 10 nonprofit according to AZ statutes. (I was used to elected Boards in government entities which required business conducted in open sessions, usually referred to as Sunshine Laws.)

    Personally, I think business conducted out of earshot and eyes of our Members is a slippery slope to go down. It may start with good intentions but it can go downhill from there and we end up where we are now, not knowing who or when to trust!

    Exactly. My 17 year span was with Sun Health, then Banner bought in 2008/9, then back to Sun Health. Exec sessions held for firing upper management, eg president, CEO or board members. Any other terminations went thru HR. Contracts had their own department and had to be approved by CEO. Why in the heck would RCSC need to keep a contract or real estate transaction secret, and not bring it to the members first? We have approximately 32,000 members and 9 are making decisions. No voting? Who is footing the bills here? If the board wants absolute control, then pay my/our assessments. Working in the C-Suite of a major hospital system I have seen some unusual things, but NOTHING like RCSC.

    This discussion on meetings is one for the ages. I’m guessing Del Webb is shaking his head in wonderment. The entire talk is worse than fried bologna with salsa. And I love salsa! I mean really!
